Companies House, kept in order.

Two founders smiling at a laptop as they set up their company

TaxReck forms limited companies and keeps them in order at Companies House: confirmation statements, accounts, and every change to directors, shareholders, addresses and names. As an authorised corporate service provider we can also verify directors' identities and file on your company's behalf.

  • Same dayMost formations, once identities are verified
  • £100Companies House fee to incorporate online
  • 14 daysTo file a director or PSC change
  • 9 monthsAfter the year end, to file accounts

One date in, every date out.

Companies House and HMRC count from different starting points, which is how companies end up late without noticing. Put in one date and the line fills itself in.

A company, in a working day.

Five steps. You answer a few questions in the first one; we do the rest and hand you a company that is already known to HMRC.

    1. A founder sketching plans on a glass board
      1

      Name and structure

We check the name is free and not too like another, and agree the directors, shareholders and shares.

    2. A woman holding her phone up to take a photo of herself
      2

      Identity verified

Each director verifies with Companies House through us before the company is formed.

Already formed it yourself? Common, and usually fine. Ask us to check it.

What each person has to bring.

Nothing unusual, and nothing you have to post. Here is the whole list, for the company and for each person on it.

    For the company

    • A nameOne that is free and not too like another, and that avoids the sensitive words. Check yours at the top of this page.
    • A registered officeA UK address where post can be delivered and signed for. Not a PO box. Ours can be used instead of your home.
    • A registered email addressCompanies House writes to it. It is never published.
    • What the company doesA SIC code. We pick it with you from the official list.
    • Who owns itShares and shareholders: how many, at what value, and who holds them.
    • Articles of associationThe standard model articles in almost every case. We supply them.

For every director and person with significant control

    • Name, date of birth, nationalityAnd, for directors, an occupation.
    • Two addressesA service address, which appears on the public register, and your home address, which does not.
    • A verified identityEveryone must verify once, then reuse the same code for every company.
    • Anyone with more than 25%Of the shares or the votes goes on the register as a person with significant control.

    Identity verification

One check, three steps, done through us

    1. 1

      One photo ID

A biometric or machine readable passport, an Irish passport card, a UK, Channel Islands, Isle of Man or EU photocard driving licence, an EU, Norwegian, Icelandic or Liechtenstein biometric identity card, a UK biometric residence permit or an eVisa.

    2. 2

      A likeness check

A photo of your face, compared with the photo in the document. Where that is not possible, other documents from the approved list are checked by a person instead.

    3. 3

      Your personal code

Companies House issues an eleven character code. It is yours for life: give it to us once and it covers every company you are on.

We are an authorised corporate service provider, so we can carry the check out for you. Verifying free of charge through GOV.UK One Login is also an option, and we will say so if it suits you better.

An address that is not your home.

A village post office in England with a red telephone box and a post box

Use our address as your registered office and your home stays off the public register. It counts as an appropriate address under the new rules, which a PO box no longer does.

And a company secretary, if you want one

    • Register of members held and kept up to date
    • Board minutes and dividend vouchers
    • Every officer and share change filed
    • Deadlines tracked for the whole company

    The register is changing.

The Economic Crime and Corporate Transparency Act is being switched on in stages. This is what has happened, and what is next for a small company.

    1. Since March 2024

      New powers and fees

Companies House can query and reject filings. Every company needs a registered email address.

    2. Since 18 Nov 2025

      Identity verification

New directors verify before appointment; existing ones with their next confirmation statement.

    3. From 18 Nov 2026

      Everyone verified

The transition ends, and action starts against directors and PSCs who have not verified.

    4. From April 2028

      Software only accounts

Paper and web filing closes; small companies file a profit and loss account.

TaxReck is an authorised corporate service provider, so we can verify you and file for your company.

Dates from the Companies House implementation timetable as at September 2026. Ask us to confirm anything before you rely on it.

A private company's late accounts penalty

    • Up to 1 month£150
    • 1 to 3 months£375
    • 3 to 6 months£750
    • More than 6 months£1,500

Automatic, and busy is not an excuse. A late confirmation statement is an offence for the directors, and the company can be struck off.

    Companies House, answered.

Two women talking by an office window
Quick questions by phone or email are never billed.

A private company has not needed one by law since 2008, but somebody still has to do the job: keep the register of members, file the changes, mind the dates. Most directors either do it badly in January or hand it to us on a retainer.

Yes. Your home address then stays off the public register, official post comes to us and is scanned to you the day it arrives, and the address is a proper appropriate address under the new rules, which a PO box no longer is.

That everything Companies House holds about your company is still right: officers, registered office, shareholders, people with significant control, SIC codes and, now, that you have verified your identity and confirmed the company's future activities are lawful. It is due once a year, within 14 days of the review date, whether or not anything changed.

The filing is simple. The tax is where care is needed: whether to transfer existing shares or issue new ones, which class, and what it does to dividends and to the settlements rules. We do the tax check first and the paperwork second.

Yes: dormant accounts and a confirmation statement every year, and you should tell HMRC the company is dormant so it stops expecting a tax return. If you no longer need the company at all, striking it off is usually cheaper than keeping it alive.

    Hand over the register.

    Send your company number.

We come back within a working day with what is filed, what is due, and one fixed figure to look after all of it.

Opens your email with the number filled in. Nothing is sent from this page.
